By accessing our website, requesting a quote, communicating with us, or using our services, you acknowledge that you have read and agree to these Terms, as applicable to your interaction with Texgex.

These website Terms do not replace any separate broker-carrier agreement, rate confirmation, customer agreement, credit agreement, bill of lading, service agreement, or other written contract entered into between Texgex and another party. Where a separate written agreement applies and conflicts with these Terms, the separate written agreement will control to the extent of the conflict.

1. ABOUT TEXGEX LLC

Texgex LLC provides freight brokerage, transportation coordination, logistics, and related services.

Depending on the transaction, Texgex may arrange transportation services between customers, shippers, consignees, motor carriers, warehouses, and other transportation providers.

Unless expressly agreed otherwise in writing, Texgex acts as a transportation intermediary or broker when arranging motor carrier transportation and does not itself represent that it is the motor carrier physically transporting the freight.

Transportation may be performed by independent third-party motor carriers or other transportation providers.

2. FREIGHT BROKERAGE AND LOGISTICS SERVICES

Services provided or arranged by Texgex may include:

  • Freight brokerage
  • Truckload transportation coordination
  • Less-than-truckload transportation coordination
  • Drayage coordination
  • Pickup and delivery coordination
  • Freight quotes
  • Shipment tracking
  • Appointment coordination
  • Carrier sourcing
  • Transportation documentation
  • Customer support
  • Other related logistics services

Availability of any particular service is not guaranteed and may depend on shipment requirements, equipment availability, carrier availability, geographic location, regulatory requirements, weather, market conditions, and other circumstances.

3. FREIGHT QUOTES AND RATES

Unless otherwise stated in writing, freight quotes are estimates based upon information available at the time the quote is provided.

Quotes may be subject to expiration, carrier availability, equipment availability, and changes in shipment details.

Rates may change if information supplied by the customer is incomplete or inaccurate or if actual shipment conditions differ from those originally provided.

Additional charges may apply for services or circumstances including, where applicable:

  • Detention
  • Demurrage
  • Storage
  • Layover
  • Truck ordered not used
  • Driver assistance
  • Lumper charges
  • Redelivery
  • Reconsignment
  • Residential delivery
  • Limited-access locations
  • Liftgate service
  • Inside delivery
  • Additional stops
  • Chassis charges
  • Pre-pull
  • Overweight permits
  • Scale tickets
  • Tolls
  • Waiting time
  • Hazmat requirements
  • Special equipment
  • After-hours service
  • Customs or inspection delays
  • Port, rail, terminal, warehouse, or facility charges
  • Other accessorial services or charges incurred in connection with the shipment

A quote may be revised if the shipment's weight, dimensions, commodity, equipment requirements, pickup or delivery conditions, location, dates, or other material information changes.

4. CUSTOMER RESPONSIBILITIES

Customers are responsible for providing accurate and complete information regarding their shipments.

This may include:

  • Commodity description
  • Weight
  • Dimensions
  • Quantity
  • Packaging
  • Pickup address
  • Delivery address
  • Contact information
  • Required equipment
  • Hazardous-material status
  • Special handling requirements
  • Appointment requirements
  • Temperature requirements
  • Customs or regulatory information where applicable

The customer is responsible for notifying Texgex of any hazardous, dangerous, regulated, restricted, high-value, temperature-sensitive, oversized, overweight, or otherwise special cargo before transportation is arranged.

Texgex may rely on information provided by the customer, shipper, consignee, or their representatives when arranging transportation.

5. THIRD-PARTY MOTOR CARRIERS

Texgex may arrange transportation through independent third-party motor carriers.

Such carriers are independent contractors and are not employees of Texgex.

Carriers are responsible for operating their equipment, employing or contracting with qualified drivers, maintaining required operating authority and insurance, and complying with applicable transportation and safety regulations.

Texgex may select or coordinate with carriers based on information reasonably available to it but does not guarantee the performance of any independent third-party carrier.

6. PICKUP AND DELIVERY TIMES

Pickup dates, delivery dates, transit times, appointments, and estimated arrival times may be provided for planning purposes.

Unless Texgex expressly agrees otherwise in writing, such times are estimates and are not guaranteed.

Transportation may be affected by circumstances outside Texgex's reasonable control, including:

  • Traffic
  • Weather
  • Mechanical failures
  • Carrier delays
  • Port or rail congestion
  • Terminal conditions
  • Road closures
  • Government inspections
  • Customs holds
  • Facility delays
  • Labor disruptions
  • Equipment shortages
  • Natural disasters
  • Accidents
  • Acts or omissions of third parties
  • Other transportation interruptions

Texgex will make commercially reasonable efforts to communicate material shipment updates when information is available.

7. PAYMENT AND BILLING

Customers agree to pay invoices and other charges according to the payment terms agreed upon with Texgex.

Invoices may include the agreed transportation rate and applicable accessorial or additional charges incurred in connection with the shipment.

Failure to timely pay amounts due may result in suspension or termination of services and may result in collection activity to the extent permitted by law and applicable agreements.

Customers should promptly notify Texgex of any billing dispute and provide supporting documentation.

Specific payment, dispute, credit, collection, or late-payment provisions contained in a separate written agreement between Texgex and the customer will control where applicable.

8. CARGO CLAIMS

Cargo loss or damage claims should be reported to Texgex as soon as reasonably possible after discovery.

The claimant may be required to provide supporting documentation, including:

  • Bill of lading
  • Delivery receipt
  • Photographs
  • Commercial invoice
  • Packing list
  • Proof of value
  • Inspection reports
  • Written description of loss or damage
  • Other documents reasonably necessary to investigate the claim

Customers and consignees should note visible loss or damage on the delivery receipt before accepting delivery whenever reasonably possible.

Cargo claims may be subject to applicable federal or state law, carrier tariffs, bills of lading, contractual limitations, insurance terms, and other applicable transportation agreements.

Nothing in these website Terms is intended to shorten a mandatory claim period established by applicable law where such period cannot legally be modified.

9. CARGO INSURANCE

Carrier liability and cargo insurance are not necessarily equivalent to full replacement-value insurance.

Unless expressly confirmed in writing, Texgex does not represent that a shipment is insured for its full commercial or replacement value.

Customers requiring additional or specific cargo insurance should request such coverage before shipment and obtain written confirmation of any coverage arranged.

10. PACKAGING AND CARGO PREPARATION

Unless Texgex expressly agrees in writing to provide packing services, the shipper or customer is responsible for ensuring cargo is properly:

  • Packed
  • Secured
  • Marked
  • Labeled
  • Classified
  • Documented
  • Prepared for transportation

Packaging should be appropriate for the commodity, transportation mode, equipment, route, and normal handling conditions.

11. HAZARDOUS MATERIALS

Customers must disclose hazardous-material status before requesting or accepting transportation arrangements.

Customers and shippers are responsible for providing accurate classification, descriptions, documentation, labels, placards, packaging, emergency-response information, and other information required by applicable law.

Texgex may refuse to arrange transportation for hazardous or regulated cargo at its discretion or where appropriate carrier capacity is unavailable.

12. CUSTOMS AND GOVERNMENT REQUIREMENTS

Where a shipment involves customs, government agencies, ports, airports, rail terminals, or other regulated facilities, additional requirements may apply.

Unless specifically agreed otherwise in writing, the customer is responsible for providing complete and accurate commercial documents, classifications, values, country-of-origin information, permits, licenses, and other information required for the shipment.

Texgex is not responsible for delays caused by customs examinations, government holds, inspections, enforcement actions, missing or inaccurate customer documentation, or other governmental actions outside Texgex's reasonable control.

13. WEBSITE USE

The Texgex website is provided for general informational and business purposes.

You agree not to:

  • Use the website for unlawful purposes;
  • Attempt unauthorized access to our systems;
  • Introduce viruses, malware, or harmful code;
  • Interfere with website security or operation;
  • Scrape or harvest information in violation of applicable law;

Liability relating to freight transportation, cargo loss or damage, payment, carrier services, or other transportation transactions may be governed by applicable law and the specific contracts, rate confirmations, bills of lading, tariffs, insurance policies, or other agreements applicable to the shipment.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

21. INDEMNIFICATION

To the extent permitted by applicable law and any applicable written agreement, you agree to indemnify and hold harmless Texgex LLC and its officers, employees, representatives, and agents from third-party claims arising from your unlawful use of the website, material violation of these Terms, or violation of another party's rights.

Transportation-specific indemnification obligations may be governed by separate written agreements.

22. FORCE MAJEURE

Texgex will not be responsible for delays or failures caused by circumstances outside its reasonable control, including severe weather, natural disasters, fires, floods, accidents, governmental actions, war, terrorism, civil unrest, labor disputes, strikes, port congestion, terminal closures, equipment shortages, carrier disruptions, cyber incidents, utility failures, or other similar events.

23. TERMINATION

Texgex may suspend or terminate access to its website or services where reasonably necessary because of:

  • Violation of these Terms;
  • Nonpayment;
  • Fraud or suspected fraud;
  • Unlawful activity;
  • Safety or compliance concerns; or
  • Other circumstances reasonably requiring suspension or termination.

Rights and obligations that by their nature should survive termination will remain in effect.

24. SEVERABILITY

These Terms are governed by the laws of the State of Texas and applicable federal laws of the United States, without regard to conflict-of-law principles.

Any separate written agreement between Texgex and another party may contain different governing-law, venue, jurisdiction, or dispute-resolution provisions, in which case that agreement will control with respect to the applicable transaction.

27. CHANGES TO THESE TERMS

Texgex may update these Terms periodically to reflect changes in our services, business practices, legal requirements, or technology.

The current version will be posted on our website with an updated "Last Updated" date.

Your continued use of the website after changes become effective constitutes acceptance of the revised website Terms to the extent permitted by applicable law.
